Data Processing Agreement
This agreement regarding the handling of personal data ("DPA") is a part of both the terms of service and privacy policy, which may be updated periodically, or any other written or electronic agreement between Wiseapp LLC and the customer regarding the purchase and/or use of online services from Wiseapp LLC (referred to as "Services" or otherwise in the relevant agreement, and defined as "Services" in this DPA).
This DPA reflects the agreement between the parties regarding the processing of personal data. The customer enters into this DPA on behalf of itself and, if necessary according to applicable data protection laws and regulations, on behalf of authorized affiliates of the customer, if and to the extent that Wiseapp LLC processes personal data for which such authorized affiliates qualify as the controller.
For the purposes of this DPA only, and unless stated otherwise, the term "customer" includes the customer and authorized affiliates. All capitalized terms not defined in this DPA have the meaning stated in the agreement. In the process of providing the Services to the customer according to the agreement, Wiseapp LLC may handle personal data on behalf of the customer, and the parties agree to follow the following provisions regarding any personal data, each acting reasonably and in good faith.
The purpose of the Agreement
The Data Processor will process personal data on behalf of the Data Controller in accordance with the terms of this Agreement and the instructions of the Data Controller. The personal data will be used for the following purposes: Provide the Services and to improve and enhance your user experience.
Scope of processing
The Data Processor will only process personal data in accordance with the instructions of the Data Controller. The Data Processor will not use the personal data for any other purpose or disclose it to any third party without the prior written consent of the Data Controller.
Duration of processing
The Data Processor will process the personal data for the duration of this Agreement.
Security measures
The Data Processor will implement appropriate technical and organizational measures to protect personal data from accidental or unlawful destruction, loss, alteration, unauthorized disclosure or access.
Sub-processors
The Data Processor may engage sub-processors to assist in the processing of personal data. Any sub-processor engaged by the Data Processor will be subject to the same data protection obligations as the Data Processor under this Agreement.
The following is a list of personal data subprocessors we use. These subprocessors are all located in the United States:
- Digital Ocean. Cloud services provider.
- Amazon Web Services. Cloud services provider.
- Cloudflare. Cloud services provider.
- Google Firebase. Cloud services provider.
Data Subject Rights
The Data Processor will assist the Data Controller in fulfilling its obligations under the General Data Protection Regulation (GDPR) with respect to the rights of data subjects, including the right of access, rectify, erasure, and data portability.
Liability
The Data Processor will be liable for any damage caused by its processing of personal data in violation of this Agreement or the GDPR.
Governing Law
This Agreement and any disputes arising out of or in connection with it will be governed by and construed in accordance with the laws of Wyoming / United States.
This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written. This Agreement may not be amended or modified except in writing signed by both parties.
